These Terms and Conditions (“Terms”) govern your access to and use of datamarinesupply.com (the “Site”) and all purchases made through Data Marine Supply.
The Site is operated by Data Marine LLC, doing business as Data Marine Supply (“Data Marine,” “Data Marine Supply,” “we,” “us,” or “our”).
By accessing the Site, creating an account, submitting an order, purchasing a product, or otherwise using our services, you agree to be bound by these Terms, our Privacy Policy, Refund Policy, Shipping Policy, and any additional terms displayed in connection with a particular product or transaction.
If you do not agree to these Terms, you should not use the Site or place an order.
1. ONLINE STORE TERMS
You represent that you are legally capable of entering into a binding contract and, if purchasing on behalf of a company, vessel owner, vessel manager, operator, government entity, or other organization, that you have authority to bind that organization.
You may not use the Site or products purchased from us for any unlawful purpose.
You may not interfere with the operation or security of the Site, introduce malicious software, attempt unauthorized access, or use the Site in violation of applicable law.
2. MARINE AND TECHNICAL PRODUCTS
Data Marine Supply sells specialized marine electronics, navigation equipment, communication equipment, safety equipment, replacement parts, batteries, accessories, calibration equipment, and other technical products.
Many products are manufacturer-, model-, serial-number-, configuration-, software-, voltage-, frequency-, vessel-, or application-specific.
A product that appears physically similar to another product may not necessarily be compatible with the customer's equipment.
THE CUSTOMER IS RESPONSIBLE FOR VERIFYING THE CORRECT MANUFACTURER, MODEL, PART NUMBER, PRODUCT CODE, SPECIFICATION, VOLTAGE, FREQUENCY, CONFIGURATION, COMPATIBILITY, AND APPLICATION BEFORE PLACING AN ORDER.
The customer should consult the applicable manufacturer manual, parts list, technical documentation, equipment nameplate, authorized technician, or manufacturer before ordering whenever compatibility is uncertain.
3. CUSTOMER RESPONSIBILITY FOR PART NUMBER AND COMPATIBILITY
Customers are solely responsible for identifying and ordering the correct product and part number unless Data Marine expressly agrees in writing to select a product for the customer's specific application.
An order placed by manufacturer part number, product code, model number, or other identifying information supplied or selected by the customer will be fulfilled based on that information.
Data Marine is not responsible for a customer's incorrect selection of a product, part number, model, specification, voltage, frequency, software version, configuration, accessory, battery, sensor, cable, connector, antenna, module, or other component.
A customer's ordering error, compatibility error, or change of requirements does not constitute a product defect or an error by Data Marine.
Product descriptions, photographs, diagrams, dimensions, cross-references, compatibility information, and other Site content are provided for general informational purposes and should not replace verification against current manufacturer documentation.
4. REQUESTS FOR TECHNICAL ASSISTANCE BEFORE ORDERING
Customers who are uncertain about the correct product may contact Data Marine Supply before placing an order.
Any recommendation is based on information supplied by the customer and information reasonably available to Data Marine at the time.
The customer remains responsible for providing complete and accurate equipment information, including manufacturer, model, serial number, part number, configuration, and other requested technical information.
Unless expressly confirmed in writing, technical discussions, emails, telephone conversations, photographs, or informal recommendations do not constitute a guarantee of compatibility.
5. ORDERS
All orders are subject to acceptance by Data Marine.
Receipt of an automated order confirmation does not necessarily constitute final acceptance of an order.
We reserve the right to verify product availability, pricing, payment, shipping information, technical information, export restrictions, fraud indicators, and other transaction details before accepting or fulfilling an order.
We may accept, reject, cancel, limit, or request additional information concerning an order where reasonably necessary.
If we cancel an order that has been paid and has not been fulfilled, we will provide any refund required by applicable law.
6. SPECIAL-ORDER PRODUCTS
Many marine electronics products and replacement parts sold through Data Marine Supply are not ordinary retail inventory.
Products obtained specifically for a customer's order may be classified as Special Order products.
Special Order products may include products sourced specifically from a manufacturer, authorized distributor, supplier, overseas supplier, warehouse, or other source after the customer's order is received.
SPECIAL-ORDER PRODUCTS MAY BE FINAL SALE AND NON-CANCELABLE AND NON-RETURNABLE ONCE THE ORDER HAS BEEN SUBMITTED TO, ACCEPTED BY, OR PROCESSED BY OUR MANUFACTURER, DISTRIBUTOR, SUPPLIER, OR FULFILLMENT PARTNER.
The fact that a product was displayed on the Site does not necessarily mean that Data Marine maintains that product in its own physical inventory.
7. DROP-SHIPPED PRODUCTS
Data Marine Supply uses manufacturers, authorized distributors, wholesalers, suppliers, warehouses, and fulfillment partners to fulfill certain orders.
Accordingly, products may be shipped directly to the customer by a third party rather than from a Data Marine facility.
This practice is commonly known as drop shipping or direct fulfillment.
A product being drop-shipped does not alter the customer's obligation to verify the correct product before ordering.
Once a drop-shipped order has been released to a supplier or fulfillment partner, Data Marine may be unable to modify, intercept, exchange, or cancel the order.
Returns and exchanges of drop-shipped products are subject to these Terms, our Refund Policy, and any applicable manufacturer, distributor, supplier, or fulfillment-provider restrictions.
DATA MARINE DOES NOT GUARANTEE THAT A DROP-SHIPPED PRODUCT CAN BE CANCELED, MODIFIED, EXCHANGED, OR RETURNED AFTER THE ORDER HAS BEEN RELEASED FOR FULFILLMENT.
8. FINAL-SALE AND NON-RETURNABLE PRODUCTS
To the maximum extent permitted by applicable law, certain products may be designated Final Sale, Non-Returnable, or otherwise excluded from ordinary returns.
These may include:
- Special-order products;
- Customer-specific products;
- Custom-configured products;
- Programmed or activated products;
- Registered products;
- Products programmed with MMSI, vessel identity, call sign, IMO number, or other customer-specific information;
- EPIRBs, PLBs, AIS equipment, transponders, and similar registered or programmed equipment;
- Software, licenses, activation codes, unlock codes, charts, and digital products;
- Products with broken manufacturer seals;
- Opened electronic or electrical products where the product cannot reasonably be resold as new;
- Products removed from sealed antistatic or protective packaging;
- Products that have been installed or where installation has been attempted;
- Products that have been connected to power;
- Products that have been programmed, configured, modified, or calibrated;
- Batteries and certain safety or regulated products where return restrictions apply;
- Hazardous-material products;
- Calibration gases and similar regulated products;
- Products with expiration dates;
- Discontinued or clearance products;
- Products specially sourced from manufacturers or suppliers;
- Products marked “Final Sale,” “Special Order,” “Non-Returnable,” or similar language; and
- Other products that our supplier or manufacturer does not permit us to return.
Opening a package may make certain marine electronic products non-returnable because the manufacturer or supplier may no longer accept the product as new inventory.
The applicable Refund Policy provides additional information.
9. ORDER CANCELLATION
Customers should contact us immediately if they wish to request cancellation.
A CANCELLATION REQUEST IS NOT A GUARANTEE THAT AN ORDER CAN BE CANCELED.
An order may become non-cancelable once it has been submitted to a manufacturer, distributor, supplier, warehouse, or fulfillment partner; allocated for the customer; programmed; configured; packed; or released for shipment.
If cancellation remains possible, the customer may be responsible for supplier cancellation fees, non-refundable transaction costs, restocking charges, special-order charges, freight charges, or other costs actually imposed or incurred in connection with the cancellation, to the extent permitted by law.
Nothing in this section limits cancellation or refund rights that cannot lawfully be waived.
10. PRICING AND PRODUCT INFORMATION
We attempt to provide accurate pricing, descriptions, specifications, and product information.
However, typographical errors, supplier data errors, manufacturer changes, outdated photographs, pricing errors, technical errors, or other inaccuracies may occur.
Prices and availability are subject to change without notice before an order is accepted.
If a material pricing or product-information error is discovered after an order is submitted, we may contact the customer for instructions or cancel and refund the affected order as permitted by applicable law.
We are not obligated to sell a product at an obviously erroneous price resulting from a typographical, system, supplier-feed, or other bona fide error to the extent permitted by law.
11. PRODUCT IMAGES AND MANUFACTURER CHANGES
Product photographs and illustrations are provided for identification and general reference.
Manufacturers may revise product appearance, packaging, labels, accessories, specifications, firmware, hardware revisions, country of manufacture, or other characteristics without immediately providing updated images.
Unless a particular revision or characteristic is expressly confirmed in writing as a condition of sale, minor manufacturer changes that do not materially alter the ordered product's identity do not necessarily constitute shipment of an incorrect product.
12. AVAILABILITY AND BACKORDERS
Product availability displayed on the Site may depend on information received from manufacturers, distributors, suppliers, or fulfillment partners and may change without notice.
An item displayed as available may become unavailable before fulfillment.
Shipping dates and lead times are estimates unless expressly stated otherwise.
Where applicable federal law requires us to obtain consent to a shipping delay or provide a refund, we will comply with those requirements.
Under the FTC's Mail, Internet, or Telephone Order Merchandise Rule, sellers generally must have a reasonable basis for an advertised shipping time; if no shipping time is stated, the default rule generally uses 30 days. If shipment cannot be made within the applicable period, the customer must generally be offered the choice to consent to delay or cancel for a prompt refund.
13. SHIPPING AND DELIVERY
Shipping and delivery dates are estimates unless expressly guaranteed in writing.
Data Marine is not responsible for carrier delays, weather, customs delays, port restrictions, strikes, transportation disruptions, incorrect addresses supplied by the customer, failed delivery attempts, or other circumstances outside our reasonable control.
Risk of loss and title will pass as provided by applicable law and the applicable shipping terms.
Customers are responsible for providing a complete and accurate delivery address and contact information.
Additional terms concerning shipping are contained in our Shipping Policy.
14. INSPECTION UPON DELIVERY
Customers should inspect shipments promptly upon receipt.
Visible shipping damage, missing packages, incorrect quantities, or apparent shipping discrepancies should be documented immediately, including photographs of the shipping carton, labels, packaging, and product.
Customers should retain all original packaging until they have confirmed that the shipment is complete and undamaged.
Failure to promptly document shipping damage may affect the ability of Data Marine, the carrier, supplier, or manufacturer to process a shipping claim.
Nothing in this section eliminates rights that cannot lawfully be waived.
15. DEFECTIVE PRODUCTS AND MANUFACTURER WARRANTY
A product that is defective is not necessarily subject to an ordinary return.
Many products sold by Data Marine Supply are covered by a manufacturer's warranty.
Where applicable, defective products may be subject to manufacturer troubleshooting, inspection, warranty determination, repair, replacement, or Return Merchandise Authorization (“RMA”) procedures.
Data Marine may assist customers with a manufacturer warranty claim where appropriate but does not control the manufacturer's warranty determination.
Manufacturer warranty approval, repair, replacement, turnaround time, and coverage remain subject to the applicable manufacturer's policies.
A manufacturer's determination that a product is not defective, was improperly installed, was damaged by incorrect voltage, was misused, was modified, or is otherwise outside warranty coverage may affect the customer's available remedy.
16. INSTALLATION AND PROFESSIONAL USE
Many products sold through Data Marine Supply are specialized marine electronic or safety products intended to be installed, programmed, commissioned, inspected, or serviced by appropriately qualified personnel.
The customer is responsible for ensuring proper installation and compliance with manufacturer instructions and applicable vessel, Flag State, classification, FCC, Coast Guard, safety, electrical, and other regulatory requirements.
Data Marine Supply's sale of a product does not constitute certification that the purchaser is qualified to install, program, commission, inspect, or service that product.
Improper installation, wiring, programming, configuration, voltage, polarity, grounding, networking, antenna installation, or commissioning may damage equipment and may void manufacturer warranty coverage.
17. REGULATED AND SAFETY EQUIPMENT
Certain marine products may be subject to regulatory, registration, programming, carriage, installation, inspection, or certification requirements.
These may include EPIRBs, PLBs, AIS equipment, SARTs, GMDSS equipment, radio equipment, batteries, pyrotechnics, calibration gases, life-saving equipment, and other regulated products.
The purchaser is responsible for determining whether the product is appropriate and legally permitted for the intended vessel, jurisdiction, flag, service, and application.
18. EXPORT CONTROLS AND SANCTIONS
Products sold through Data Marine Supply may be subject to United States export-control laws, economic sanctions, trade restrictions, or manufacturer distribution restrictions.
We reserve the right to refuse, suspend, or cancel any transaction where we reasonably believe fulfillment may violate applicable law, sanctions, export controls, manufacturer restrictions, or other legal requirements.
The customer agrees not to export, re-export, transfer, or use products in violation of applicable law.
19. PAYMENT
The customer agrees to provide current, complete, and accurate purchase and payment information.
We may use third-party payment processors and fraud-prevention services.
We reserve the right to delay or cancel fulfillment while payment, identity, address, fraud, or other transaction information is being verified.
20. CHARGEBACKS AND PAYMENT DISPUTES
Customers should contact Data Marine Supply promptly concerning legitimate order issues before initiating a payment dispute where reasonably possible.
Fraudulent, abusive, or knowingly false chargebacks may be contested using order records, communications, delivery records, tracking information, product information, customer acknowledgments, and other available evidence.
Nothing in this section restricts any lawful right a consumer has to dispute an unauthorized or improper charge.
21. RETURNS AND REFUNDS
All returns, refunds, exchanges, cancellations, and RMA requests are subject to our Refund Policy.
PURCHASERS OF SPECIALIZED MARINE ELECTRONICS SHOULD REVIEW THE REFUND POLICY BEFORE ORDERING.
The customer's failure to read the Refund Policy does not alter the policy to the extent permitted by applicable law, provided the policy has been presented as required by applicable law.
22. CALIFORNIA CUSTOMERS — RETURN POLICY NOTICE
California customers should carefully review our Refund Policy before placing an order.
Certain products sold by Data Marine Supply are subject to restricted returns, final-sale conditions, special-order restrictions, opened-package restrictions, or other return conditions.
Where California Civil Code Section 1723 applies, Data Marine Supply will provide the required notice of a limited or no-return policy.
California law specifically recognizes categories including goods marked “all sales final” or similar language, used or damaged goods, customized goods received as ordered, and goods not returned with their original packaging in its statutory return-policy framework.
Nothing in these Terms or our Refund Policy limits any non-waivable right available under applicable California law.
23. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT FOR ANY EXPRESS WRITTEN WARRANTY THAT EXPRESSLY APPLIES TO A PRODUCT:
PRODUCTS ARE PROVIDED “AS IS” AND “WITH ALL FAULTS,” SUBJECT TO ANY APPLICABLE MANUFACTURER WARRANTY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATA MARINE LLC DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTY OF MERCHANTABILITY AND THE IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT LAWFULLY BE DISCLAIMED.
NO ORAL OR INFORMAL STATEMENT, PRODUCT RECOMMENDATION, EMAIL, TECHNICAL COMMENT, COMPATIBILITY DISCUSSION, OR OTHER COMMUNICATION CREATES A WARRANTY UNLESS EXPRESSLY CONFIRMED AS A WARRANTY IN WRITING BY AN AUTHORIZED REPRESENTATIVE OF DATA MARINE LLC.
Texas Business & Commerce Code §2.316 specifically requires a written exclusion of the implied warranty of merchantability to mention “merchantability” and to be conspicuous; exclusions of implied fitness warranties likewise must be conspicuous.
24. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DATA MARINE LLC, DATA MARINE SUPPLY, AND THEIR OWNERS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THE SITE, AN ORDER, A PRODUCT, DELIVERY, INSTALLATION, USE, INABILITY TO USE, FAILURE, OR PERFORMANCE OF A PRODUCT.
WITHOUT LIMITING THE FOREGOING, DATA MARINE SHALL NOT BE LIABLE FOR LOSS OF PROFIT, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF CHARTER, LOSS OF USE, LOSS OF DATA, LOSS OF PRODUCTION, LOSS OF OPPORTUNITY, VESSEL DELAY, OFF-HIRE, DETENTION, DEMURRAGE, PORT CHARGES, LOSS OF BERTH, MISSED SAILING, SUBSTITUTE EQUIPMENT COSTS, OR OTHER CONSEQUENTIAL OR COMMERCIAL LOSSES, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATA MARINE'S TOTAL AGGREGATE LIABILITY ARISING FROM A PARTICULAR PRODUCT OR TRANSACTION SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID TO DATA MARINE FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.
These limitations apply regardless of whether the asserted theory is contract, warranty, tort, negligence, strict liability, statute, or another theory, to the maximum extent permitted by applicable law.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
Texas law permits contractual remedies to be limited in appropriate circumstances and provides that consequential damages may generally be limited or excluded unless the limitation is unconscionable; the statute specifically distinguishes commercial loss from personal injury involving consumer goods.
25. CUSTOMER'S USE OF PRODUCTS
The purchaser assumes responsibility for determining whether a product is appropriate for its intended use and for using, installing, maintaining, inspecting, testing, and operating the product in accordance with manufacturer instructions and applicable law.
The customer should not rely solely on Site content for navigation, life safety, regulatory compliance, vessel operation, or other safety-critical decisions.
26. THIRD-PARTY MANUFACTURERS
Manufacturer names, trademarks, product names, photographs, specifications, and logos belong to their respective owners.
Sale of a manufacturer's product does not itself represent or imply that Data Marine is an authorized dealer, distributor, service station, or representative of that manufacturer unless Data Marine expressly states such authorization.
Manufacturer specifications and policies may change without notice.
27. INTELLECTUAL PROPERTY
Unless otherwise stated, Site content owned by Data Marine, including original text, graphics, logos, photographs, layout, and other original materials, is protected by applicable intellectual-property laws.
You may not reproduce, distribute, commercially exploit, scrape, republish, or otherwise misuse protected Site content without permission.
28. THIRD-PARTY LINKS
The Site may contain links to manufacturers, suppliers, payment processors, carriers, or other third-party websites.
Data Marine does not control and is not responsible for third-party websites, content, cybersecurity, availability, privacy practices, terms, or services.
29. ERRORS AND OMISSIONS
Occasionally information on the Site may contain typographical errors, inaccuracies, or omissions relating to product descriptions, specifications, pricing, promotions, availability, shipping, or other matters.
We reserve the right to correct errors and update information as permitted by applicable law.
30. PROHIBITED USES
You may not use the Site:
- For unlawful purposes;
- To violate intellectual-property rights;
- To submit fraudulent information;
- To interfere with Site security;
- To transmit malicious software;
- To scrape or harvest data unlawfully;
- To impersonate another person;
- To engage in fraudulent transactions; or
- To violate export-control, sanctions, or other applicable laws.
We may suspend or terminate access for prohibited activity.
31. INDEMNIFICATION
To the extent permitted by applicable law, a purchaser using products for commercial or professional purposes agrees to indemnify and hold harmless Data Marine LLC and its owners, members, managers, employees, and agents from third-party claims, damages, liabilities, and reasonable costs arising from the purchaser's unlawful use, unauthorized modification, resale in violation of applicable law, export violation, or improper installation or use of a product, except to the extent caused by Data Marine's liability that cannot lawfully be shifted or excluded.
32. FORCE MAJEURE
Data Marine shall not be liable for delay or failure in performance caused by circumstances beyond its reasonable control, including natural disasters, hurricanes, flooding, fire, war, terrorism, civil unrest, strikes, epidemics, pandemics, governmental actions, port closures, transportation disruptions, carrier delays, customs delays, cyber incidents affecting third parties, communications failures, manufacturer delays, supplier delays, parts shortages, supply-chain interruptions, or similar events.
33. SEVERABILITY
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the provision shall be enforced to the maximum extent permitted by law or severed where appropriate, and the remaining provisions shall remain in effect.
34. NO WAIVER
Failure by Data Marine to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.
35. ENTIRE AGREEMENT
These Terms, together with the applicable order, product-specific terms, Privacy Policy, Refund Policy, Shipping Policy, and any written agreement expressly accepted by Data Marine, constitute the agreement governing use of the Site and applicable purchases.
Terms contained in a customer's purchase order or other document do not modify these Terms unless expressly accepted in writing by an authorized representative of Data Marine LLC.
36. GOVERNING LAW
These Terms and transactions with Data Marine LLC shall be governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable federal law or another non-waivable law controls.
37. JURISDICTION AND VENUE
To the extent permitted by applicable law, any action arising out of or relating to these Terms or a transaction with Data Marine LLC shall be brought in a court of competent jurisdiction in the State of Texas.
Nothing in this section deprives a consumer of rights that applicable law does not permit the consumer to waive.
38. CHANGES TO THESE TERMS
We may update these Terms from time to time.
The version applicable to an order will ordinarily be the version in effect when the order is submitted, except where applicable law requires otherwise.
The current version will be identified by the “Last Updated” date displayed above.
